I help clients understand what they’re signing, negotiate stronger terms, and draft contracts that protect their interests — from commercial and service agreements to the real estate and development transactions at the core of my practice.

My approach to contract work is practical and precise: identify risk, eliminate ambiguity, and ensure the terms reflect how the deal is actually meant to operate. The goal isn’t just to “paper” an agreement, but to produce documents clients can rely on with confidence.

Outside Counsel for Nonprofits and Small Businesses

Small businesses and nonprofits live with their governing documents long after formation. I help clients select and form the right entity—LLCs, corporations, and 501(c)(3) nonprofits—and draft bylaws and operating agreements that reflect how the organization actually intends to operate, not generic forms that fit no one in particular.

On an ongoing basis, I serve as outside counsel for the recurring legal work that keeps an organization running and in good standing: compliance counsel, annual filings, board governance, policy adoption, contract review, and the questions that come up between formal matters. The model is built for clients who need reliable counsel on call without the cost of an in-house legal department.

Estate Planning for Individuals and Families

Every adult eventually needs a small set of foundational documents: a will, a durable financial power of attorney, a healthcare power of attorney, and a living will. I prepare these for clients who want their wishes recorded clearly and their families spared avoidable confusion at difficult moments, with care taken to fit the documents to the specific people, relationships, and assets involved.
